These terms and conditions are the contract between you and OnSubs. By visiting or using our website or services, you agree to be bound by them.
OnSubs is based in the United Kingdom.
Under 18 years? Sorry, but we deal only with people who are legally able to enter into a binding contract. Please ask someone over 18 to use our services on your behalf.
If you use our Service, you do so in accordance with these terms. If you are unable to accept them, your only remedy is to leave our website and stop using our services.
1. Definitions
Service means the subscription management platform and related services we provide to you via our website and applications.
Platform or Our Website means any website, mobile application, or service designed for electronic access which is owned or operated by us, including all hardware and software installations that enable our services to function.
Content means the textual, visual or audio content that is encountered as part of your experience using our Service. It may include, among other things, text, images, sounds, videos and animations. It includes content posted by you and content provided to inform, illustrate and promote sales.

By accessing and using OnSubs, the Service, you accept and agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our Service.
- We do not offer Service in all countries. We may refuse service if you live in a country we do not serve.
- In entering into this contract you have not relied on any representation or information from any source except the definition and explanation of the Service given on Our Website.
- OnSubs is a subscription management platform that enables creators and businesses to sell memberships, recurring plans, and subscription services to their customers.
- OnSubs is a marketplace platform. We are agents of a Seller only to the extent of use of Our Website as a platform for sale of their subscriptions and for collection and forwarding of payments. We are not responsible to you further than to take your money and pass it to the Seller.
- We are neither a buyer nor seller of subscriptions offered for sale in any form. We are not either a principal or agent in a buying transaction.
- We welcome any comment or complaint about a Seller, which you make through Our Website. We may act upon a complaint in our discretion, for the benefit of the body of our members.
- We are not responsible for delivery of any subscription or content you order or for the returns and repayment procedure should you decide to request a refund for any reason.
- In any dispute with a Seller, you should deal only with the Seller. We have neither legal obligation nor detailed information about the specific subscription or product.
- We may change this agreement in any way at any time. The version applicable to your contract is the version which is posted on Our Website at the time you subscribe or use our Service.
3. Service Description
OnSubs provides:
- Subscription management and billing tools
- Customer management and analytics
- Payment processing integration
- Content delivery and access control
- API access and developer tools
We reserve the right to modify, suspend, or discontinue any part of our Service with reasonable notice to users.
We will do all we can to maintain access to Our Website, but it may be necessary for us to suspend all or part of our Service for repairs, maintenance or other reasons. We may do so without telling you first.
You acknowledge that our Service may also be interrupted for reasons beyond our control.
4. Your Account and Personal Information
When you visit Our Website, you accept responsibility for any action done by any person using your name, account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.

5. Billing and Payments
5.1 Pricing and Currency
- All prices are displayed in the currency stated at the time of subscription
- Where tax, VAT, is shown, it is calculated at the rate applicable in the UK at the time of transaction
- The final price you pay may include VAT if you are a consumer located in the UK
- If your payment card is in a different currency, your card issuer will apply their exchange rate
- We are not responsible for currency conversion rates or foreign transaction fees
5.2 Payment Processing
- Payment is taken at the point of subscription setup and on each subsequent billing cycle
- We use Stripe as our payment processor. By subscribing, you also agree to Stripe's terms
- Card payments are not processed through pages controlled by us. Stripe will encrypt your card details in a secure environment
- We will not retain information relating to your payment or credit card. This financial information never comes into our control
5.3 Billing Cycles and Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- You will be charged on the same day of each billing cycle, monthly, annually, and so on
- Price changes will be communicated at least 30 days before they take effect
- Continuing your subscription after a price change notification constitutes acceptance of the new price
5.4 Failed Payments
- If your payment method fails, we will attempt to notify you
- We may suspend or cancel your subscription after failed payment attempts
- We may suspend services for accounts with failed payments or disputes
5.5 Service Fees for Sellers
OnSubs charges 2% per successful subscription transaction plus applicable payment processing fees such as Stripe fees.
- Fees are automatically deducted from your payouts
- Payouts are processed according to your chosen schedule
- Refunds and chargebacks are handled per our refund policy
- You are responsible for applicable taxes on your earnings
5.6 Security and Limits
For security purposes, yours and ours, we will not permit more than a maximum number of transactions with you in a given period of time.
We will retain the personal and delivery information you give to us for future ease of use. For detailed information about disclosure of personal information please see our privacy policy.
5A. Acceptance and Order Processing
In order to avoid disputes, please understand the following:
- 5A.1 An order through Our Website is an offer to subscribe. When you click to confirm subscription, you accept that you are offering to subscribe on these terms.
- 5A.2 We may or may not accept your order. Our acceptance of your order is indicated by us confirming your subscription via email or by activating your subscription access. At that point a contract is made on these terms.
- 5A.3 If we do not accept your offer, we will not charge your payment method. If we have taken payment, we will refund you within 14 days.
- 5A.4 If there is an obvious pricing or description error on Our Website, we are not bound by it. We will inform you of the error as soon as we reasonably can. You may cancel without charge or proceed with the correctly priced subscription.
- 5A.5 Any promotion, discount, or special offer code has conditions attached. Those conditions form part of these terms. If you breach those conditions, the promotion is withdrawn.
6. Content and Intellectual Property
Your Content: You retain ownership of content you upload to OnSubs. You grant us a licence to host, display, and distribute your content as necessary to provide our services.
Prohibited Content: Content must not include:
- Illegal, harmful, or fraudulent material
- Copyrighted material without permission
- Spam, malware, or malicious code
- Content that violates any applicable laws or regulations
Platform IP: Our platform, features, and branding remain our intellectual property. You agree that you will not:
- Reverse engineer, decompile, or disassemble the Software
- Copy or reproduce the platform except as specifically allowed
- Remove any identification or reference information embedded in the platform
- Represent that you are the owner or originator of the platform
7. Restrictions on Content You May Post
We do not undertake to moderate or check every item posted, but we do protect our business vigorously. If we believe Content posted breaches the law, we shall co-operate fully with the law enforcement authorities.
You agree that you will not use or allow anyone else to use Our Website to Post Content or undertake any activity which is or may:
- Be unlawful, or tend to incite another person to commit a crime
- Be obscene, offensive, threatening, violent, malicious or defamatory
- Be sexually explicit or pornographic
- Be likely to deceive any person or be used to impersonate any person

8. Consumer Protection Rights
8.1 Your Right to Cancel
Under UK consumer protection regulations, you have certain rights when purchasing subscriptions:
8.2 For Digital Content and Services
- You may cancel your subscription at any time through your account settings
- If you have ordered a subscription but not yet received access, you may cancel your order within 14 days without giving a reason
- By accepting immediate access to digital content or services, you acknowledge that you lose your right to the 14-day cancellation period
- If you exercise your right to cancel, we will reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed of your decision to cancel
8.3 For Physical Goods, if applicable
- You have 14 days from receipt of physical goods to cancel your order
- Goods must be returned in original condition, unused and in their original packaging
- You are responsible for the cost of return shipping unless the item is faulty or misdescribed
- Refunds will be processed within 14 days of receiving the returned goods
8.4 Refund Conditions
- Refunds for subscriptions are processed according to the terms set by the Creator or Seller
- You must comply with the refund procedure specified by the Seller
- This does not affect your rights in the event that the Product or service is faulty
- We will make the reimbursement using the same means of payment as you used for the initial transaction unless you have expressly agreed otherwise
8.5 Liability for Subsequent Defects, Faulty Services
- If you believe a service or subscription is faulty, you must report it as soon as the defect is discovered
- For defects appearing within six months of receipt, we presume the defect existed at the time of delivery
- You must report defects no later than six months from receipt
- If we agree that the service is faulty, we will repair, replace, or refund the full cost
- If we cannot repair or replace within a reasonable time and without significant inconvenience, you may claim a price reduction or cancel the contract
8.6 Products Returned for Non-Consumer Use
If you are buying for business or professional use and not as a consumer:
- You do not have the 14-day cancellation right described above
- Returns and refunds are at the Seller's discretion
- You must still report defects within a reasonable time
9. Account Termination
By You: You may cancel your account at any time through your dashboard settings.
By OnSubs: We may suspend or terminate accounts that:
- Violate these Terms of Service
- Engage in fraudulent activities
- Remain inactive for extended periods
- Present security or legal risks
- Fail to comply with our acceptable use policies
Post-Termination: Upon termination, we will process final payouts according to our standard schedule, minus any applicable fees or chargebacks. We retain the right to withhold payments pending resolution of any disputes or chargebacks.
10. Disclaimers and Limitation of Liability
The law differs from one country to another. This paragraph applies so far as the applicable law allows.
Service Availability: While we strive for 99.9% uptime, we cannot guarantee uninterrupted service availability. You agree that we are not liable to you for any loss whether foreseeable or not, arising as a result of interruption to our Service.
All implied conditions, warranties and terms are excluded from this agreement.
We are not responsible for:
- Content posted by users and third parties
- Technical inaccuracies or typographical errors in Content
- Links to external websites - we have no control over linked websites
- Indirect or consequential loss, economic loss, or loss of turnover, profits, business or goodwill
Limitation of Liability: OnSubs' liability is limited to the fees paid by you in the 12 months preceding any claim. In any circumstances when we may become liable to you, the limit of our liability is the amount you have paid for the service.
Third-Party Services: We integrate with third-party services like Stripe and are not responsible for their performance or policies.
Indemnity: You agree to indemnify us against any loss, damage or liability arising out of your breach of this agreement, your use of the Services, your failure to comply with any law, or any contractual claim arising from your use of the Services.
10A. Grant of Licence to Use the Platform
10A.1 Your Licence
We grant you a non-exclusive, non-transferable Licence to access and use Our Website subject to these terms and conditions. You may not sub-licence your right to use Our Website. Your right to use Our Website does not include:
- The right to Copy or Publish any material from Our Website
- The right to reproduce or display the platform or any part of it on any other website or in any other medium
- The right to sell, distribute or otherwise commercially exploit any material from Our Website
10A.2 Your Content Licence to Us
By Posting content, images, or other material to Our Website, Your Content, you grant to us a non-exclusive, irrevocable, perpetual, royalty-free, worldwide Licence to:
- Use, host, store, reproduce, modify, create derivative works, communicate, publish, and distribute such material
- Make Your Content available to the public and to other users of Our Website
- Allow other users to access, view, store, or reproduce Your Content for their personal use
We do not claim ownership of Your Content. This Licence continues even after you stop using Our Website. You warrant that Your Content does not infringe any person's copyright, patent, trademark, confidence, privacy or other right.
10A.3 Restrictions on Your Use
You agree that you will not:
- Copy, reproduce or re-transmit the Software or Content without our permission
- Reverse engineer, decompile, or disassemble the Software or any part of Our Website
- Remove, obscure, or alter any notice of copyright, trade mark or other proprietary right appearing in or on any item included in Our Website
- Make more than a reasonable number of requests to the platform, determined by us
- Use any robot, spider, scraper or other automated means to access Our Website
- Take any action that imposes an unreasonable or disproportionately large load on our infrastructure
- Use any device, software or routine to interfere or attempt to interfere with the proper working of Our Website
10B. Interruption to Service

We will do all we can to maintain access to Our Website, but it may be necessary for us to suspend all or part of our Service for repairs, maintenance, or other reasons. We may do so without telling you first.
10B.2 Unplanned Interruptions
You acknowledge that our Service may also be interrupted for reasons beyond our control, including but not limited to:
- Equipment failure or network interruptions
- Actions of third-party service providers
- Force majeure events, natural disasters, war, civil unrest, and similar events
- Government actions or legal requirements
10B.3 No Liability for Interruptions
We shall have no liability to you for any interruption or delay in access to Our Website, irrespective of the cause.

13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to users with at least 30 days notice via email and a notice on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Miscellaneous
14.1 General Provisions
- If any term of this agreement is held to be void, invalid or unenforceable, it shall be treated as changed or reduced only to the extent minimally necessary to bring it within the law
- The rights and obligations of the parties set out in this agreement shall pass to any permitted successor
- No failure or delay by any party to exercise any right will operate as a waiver of it
- This agreement does not give any right to any third party except that provisions which exclude or restrict our liability may be enforced under the Contracts, Rights of Third Parties, Act 1999
- Neither party shall be liable for any breach resulting from causes beyond its reasonable control
14.2 Communications and Delivery
When we refer in this agreement to communications, we mean any notice, information, or message sent by any method:
- Email: Communications sent by email are deemed to be received on the day they are sent, or if sent after 4:30pm, on the next business day
- Post: Communications sent by post are deemed to be received 2 business days after posting
- Platform Notifications: Messages posted in your account dashboard are deemed received when posted
- Website Updates: Changes to terms posted on Our Website are effective immediately upon posting
14.3 Tracking and Confirmation
- We will confirm transaction details within 24 hours of processing
- For physical goods, if applicable, tracking information will be provided when available
- You are responsible for maintaining accurate contact information in your account
- We are not responsible for failed delivery due to incorrect contact information
14.4 Assignment
We may transfer our rights and obligations under this agreement to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.
14.5 Entire Agreement
This agreement supersedes all previous agreements between the parties. It sets out the entire agreement between you and us relating to your use of Our Website and the services.
